1. Who these terms are for
These terms are between Safi Alsafi, trading as Serein (Trekroner Forskerpark 1, 2 104, 4000 Roskilde) (“we”) and the business that creates a Serein account (“you”). Serein is offered to businesses only; it is not offered to consumers. An authorised representative accepts a version of these terms and the data processing agreement when creating a restaurant. Accepting a staff invitation provides access under the restaurant’s existing arrangement and does not bind that staff member to a new business contract. A restaurant’s own booking terms govern its relationship with its guests.
2. The service
Serein provides online booking, table and floor-plan management, guest records, waitlist, notifications and related tools, as described on our website and in the product. We may improve and change features. We will not remove a core function you rely on without reasonable notice.
3. Accounts and acceptable use
You are responsible for accurate account details, for who you give staff access to, and for keeping credentials secure. Use Serein only for lawful restaurant operations. Do not attempt to access another restaurant’s data, interfere with the service, upload malicious content, or enter data that is not needed for taking a booking (for example card numbers or health information).
4. Your responsibilities towards guests
You decide your opening hours, availability, deposit and cancellation rules and you are responsible for them. You are the data controller for your guests’ data and must give guests the information the law requires; we provide a standard guest privacy page that you can link to. Booking software cannot know whether your room is ready or a guest needs assistance; the final decision on every table is yours.
5. Trial, plans and fees
A new restaurant starts with a 14-day free trial. After the trial, the service continues only on a paid plan; otherwise the restaurant becomes read-only. Plans and prices are shown on our website per restaurant location per month, in DKK, EUR or USD depending on country, and are confirmed at checkout. Payment is monthly in advance by card through Stripe. VAT is added where we are required by law to charge it, and is shown on the invoice. We may change prices with at least 30 days’ written notice; the change applies from the next billing period and you may cancel before then.
6. Late payment and cancellation
If a payment fails we will retry and notify you. If the payment is still outstanding after 7 days the restaurant becomes read-only: your data stays available to you and can be exported, but online booking pauses. You can cancel a subscription at any time on the billing page. It then runs to the end of the period already paid for. Fees already paid are not refunded pro rata, except where the law requires it or where we end the service for reasons other than your breach.
7. Deposits and guest payments
Optional reservation deposits are paid to your own connected Stripe account. You are the seller towards your guests and are responsible for your deposit wording, cancellation rules, refunds and disputes, and for your agreement with Stripe. We are not a party to the payment between you and your guests.
8. Availability and support
We aim for high availability but do not promise a fixed uptime percentage. We will try to announce planned maintenance in advance. Support is available by email; we respond as quickly as we reasonably can.
9. Your data
Your restaurant data belongs to you. We process guest data only on your instructions as set out in the data processing agreement. You can export your data at any time with the tools in Serein. Subscription expiry restricts writes while keeping existing data available for export. It does not automatically delete the restaurant. Export before requesting permanent restaurant deletion; confirmed deletion removes live data immediately.
10. Intellectual property
We own Serein and its software, design and documentation, and give you a non-exclusive, non-transferable right to use them during your subscription. You keep all rights to the content you add, such as your logo, texts and photos, and allow us to use it to run the service for you.
11. Suspension and termination
We may suspend an account if you seriously breach these terms, if there is a security risk, or if required by law, and we will tell you why where we can. Either party may terminate for the other’s material breach that is not corrected within a reasonable time. We may end the service for convenience with 60 days’ written notice and then refund prepaid fees for the unused period.
12. Liability
We are liable under Danish law for losses caused by our intent or gross negligence. Otherwise, and as far as the law allows, our total liability in any 12-month period is limited to the fees you paid in that period, and we are not liable for indirect loss, loss of profit, loss of revenue, or loss of goodwill. Nothing in these terms limits liability that cannot lawfully be limited. The service is provided without a warranty that it will be uninterrupted or error-free.
13. Events beyond our control
Neither party is liable for failure caused by events beyond its reasonable control, including outages at internet, hosting, payment or email providers, and measures by public authorities.
14. Changes to these terms
We may update these terms. We will give you at least 30 days’ notice of a material change by email, and the change applies from the end of the notice period. If you do not accept it you may cancel before then.
15. Governing law and disputes
These terms are governed by Danish law. Disputes that cannot be settled amicably are decided by the Danish courts, with the Copenhagen City Court as the first instance.
